1. Services (automation, security, community, the rest of the shop)
A conversation is not a project. A project starts when we both agree on scope, money, and what “done” means, usually in writing. You own the deliverables we produce for that engagement: code, docs, SOPs, creative. We keep the right to reuse generic know-how, snippets, and tooling we already had.
2. Products (E-Clips, members, token-gated tools)
You get a license to use the product. You do not buy the source, the workers, or the trademark. We reserve the right to add/change/remove features, cease support for specific tiers, and suspend accounts that abuse the system or other members.
If a statement of work and these terms conflict, the statement of work supersedes these terms for the scope of that job.
Keep your login to yourself. You are responsible for what happens under it.
You must be at least 18 years old, or older to enter into this contract. If you are agreeing to this for a company, you are saying you have the authority to bind it.
Token-gated access (including ApeFathers) means: hold the token, get the matching tier, while the gate is on. A token is not equity in Gecoveau, not a security, and not a promise that a given NFT will be worth anything tomorrow. If you sell the token, any applicable access goes with it.
You keep ownership of files, recordings, and packets you upload. You grant us the license we need to process them for you (transcribe, clip, extract XML, store, transmit to the worker).
Do not upload material you do not have the right to process. Do not upload anything illegal. E-Clips will eat a recording and spit out transcripts. If that recording was not yours to feed it, that is on you, and we will work closely with law enforcement and applicable legal entities if issues arise.
Think something we host infringes your copyright? Email dmca@gecoveau.com with enough detail to find it and to show it is yours, and we will review it and take it down if it checks out.
Invoices are due as stated on the invoice. Subscriptions renew until you cancel. Chargebacks for work already delivered will get the account closed.
Affiliate links on the Affiliate Disclosure are referrals. We may get a cut. They are not Gecoveau products. Crypto, trading, and anything that looks like gambling can lose money. We are not your broker, your lawyer, or your therapist. Please adult responsibly. If you think you bet more than you can afford to lose, get in touch with the experts National Council on Problem Gambling.
We work hard and we document. We do not guarantee a particular search ranking, audit result, token price, or that a pipeline will survive a vendor changing their API without notice.
Everything is provided as is and as available. We are not making promises, spoken or implied, about merchantability, fitness for a particular purpose, or that any tool runs uninterrupted and error free.
To the extent the law allows, Gecoveau is not liable for lost profits, lost data, or indirect damages, and our total liability for a claim is the amount you paid us for the thing the claim is about in the prior twelve months (or $100 if you paid nothing).
If something you did, or something you uploaded, drags us into a dispute with someone else (they say you took their content, leaked their data, or broke a law), you are responsible for the cost of sorting it out. We are not cleaning up your mess.
If some places do not allow those limits, then they apply as far as they are legally obliged.
Michigan law, without its conflict-of-law theater. Courts in Van Buren County or the Western District of Michigan, unless we both pick something else in a statement of work.
We can update this at any time. The date at the top moves. Continued use is acceptance.
If you have a signed SOW, it will not silently change.
If a piece of this is unenforceable for any reason, the rest remains enforceable.
